Wachovia and First Union Receive FTC Antitrust Clearance on Merger Proposal
---------------------------------------------------------------------------


CHARLOTTE, N.C. - Wachovia Corporation (NYSE:WB) and First Union Corporation
(NYSE:FTU) today announced that they have received antitrust clearance from the
U.S. Federal Trade Commission for their proposed merger of equals. The FTC
clearance pertains to both companies' non-bank financial operations, including
asset and wealth management, brokerage and insurance.

Wachovia and First Union said they have been granted early termination of the
waiting period required under the Hart-Scott-Rodino Antitrust Improvements Act.
The waiting period is designed to give U.S. regulators time to review mergers
and acquisitions for anti-competitive issues.

"We are pleased to have received this important clearance and we look forward to
completing this merger, which we believe will create a powerful financial
institution with excellent prospects in high-growth businesses," said Ken
Thompson, chairman and chief executive officer of First Union.

The merger is now subject to approval by the Federal Reserve Board and Wachovia
and First Union shareholders. Shareholder meetings have been scheduled for July
31, 2001, for First Union and August 3, 2001, for Wachovia.
