Allied Capital Prices Public Offering of Common Stock
Washington, DC — March 6, 2007 — Allied Capital Corporation (NYSE: ALD) announced today that the Company has priced its public offering of 3,325,000 shares of common stock at an offering price of $29.25 per share for total proceeds, before the underwriting discount and estimated offering expenses, of $97.3 million. Net proceeds, after the underwriting discount and estimated offering expenses, were $93.8 million. Allied Capital has granted the underwriters a 30-day option to purchase up to an additional 498,750 shares to cover over-allotments, if any. The offering is subject to customary closing conditions and is expected to close on Friday, March 9, 2007. The shares were issued from the Company’s shelf registration statement on file with the Securities and Exchange Commission.
The Company intends to use the net proceeds of the offering to reduce borrowings under its revolving line of credit, to invest in debt or equity securities in primarily privately negotiated transactions, and for other general corporate purposes. Deutsche Bank Securities acted as the sole book-running manager for the offering.
