     Phelps Dodge Corporation (“Phelps Dodge”) is filing as Exhibit 99.1 to this Current Report on Form 8-K a press release issued by Phelps Dodge on July 28, 2006 providing a statement regarding the results of the tender offer by Inco Limited (“Inco”) to shareholders of Falconbridge Limited.
