 Item 5.07     Submission of Matters to a Vote of Security Holders
 
At the annual meeting of shareholders of MSCI Inc. (the “Company”) on April 8, 2010 (the “Annual Meeting”), the shareholders of the Company approved the following proposals, in each case consistent with the recommendations of the Company’s Board of Directors:
 
1.  
The election of the members of the Company’s Board of Directors; and
 
2.  
The ratification of the appointment of Deloitte & Touche LLP as the Company’s independent auditor.
 
The issued and outstanding shares of the Company’s class A common stock, $0.01 par value per share, entitled to vote at the Annual Meeting consisted of 104,989,089 shares, each share being entitled to one vote.
