By this Registration Statement, Denbury Resources Inc. (the “Registrant” or the “Company” or “we” or “our” or “us”) is registering an additional 7,000,000 shares of its Common Stock reserved for issuance under the 2004 Plan. These shares are being registered in connection with the amendment and restatement of the 2004 Plan, which was approved at the annual meeting of stockholders on May 24, 2016.
