Item 7.01.                      Regulation FD Disclosure.

CBL & Associates Properties, Inc. (the “Company”) reports, with deep sadness, that Company director Claude M. Ballard passed away on Thursday, February 11, 2010.  Mr. Ballard, 79, had served as a director of the Company since the completion of its initial public offering in 1993.

The Company’s Press Release concerning the passing of Mr. Ballard is included as an exhibit to this report.
