On April 26, 2018, SunPower Corporation, a Delaware corporation (the “Company”), adopted the SunPower Corporation Executive Performance Bonus Plan (the “Plan”). The Plan will be administered by the Compensation Committee (the “Committee”), which will select participants in the Plan (expected to include named executive officers, including the Company’s Chief Executive Officer and Chief Financial Officer); establish performance goals, target awards, and payout formulas for each participant; and determine amounts payable based on applicable award criteria. This description is qualified in its entirety by reference to the Plan, which is filed as Exhibit 10.1 hereto and incorporated by reference herein.
