(e)  On April 28, 2010, the Board of Directors of Southwestern Energy Company (the “Company”) adopted a policy that, effective as of such date, the Company will not enter into any new agreements (which shall include materially amending any existing agreements) with any of its senior executives that require the payment of a tax gross-up, including with respect to any excise taxes imposed under Section 4999 of the Internal Revenue Code of 1986, as amended, or any successor statute thereto, except for those provided pursuant to a plan, policy or arrangement applicable to management employees of the Company generally, such as a relocation or expatriate tax equalization policy. The adoption of this policy does not affect any existing contractual obligation of the Company or the terms of any compensation or benefit plan currently in effect.
