Item 1.01. Entry Into a Definitive Agreement.
On July 21, 2014, First Merchants Corporation, an Indiana corporation (“First Merchants”), and Community Bancshares, Inc., an Indiana corporation (“Community Bancshares”), entered into an Agreement and Plan of Reorganization and Merger (the “Merger Agreement”), pursuant to which, Community Bancshares will, subject to the terms and conditions of the Merger Agreement, merge with and into First Merchants (the “Merger,”) whereupon the separate corporate existence of Community Bancshares will cease and First Merchants will survive. Immediately following the Merger, Community Bank, an Indiana state bank and wholly-owned subsidiary of Community Bancshares, will be merged with and into First Merchants Bank, National Association, a national bank and wholly-owned subsidiary of First Merchants, with First Merchants Bank, National Association continuing as the surviving bank. The Merger Agreement has been approved by the Boards of Directors of each of First Merchants and Community Bancshares, but the consummation of the Merger is conditioned upon the approval of the Community Bancshares shareholders and certain regulatory authorities as well as satisfaction of customary closing conditions. The Merger Agreement provides that upon the effective date of the Merger (the “Effective Date”), each shareholder of Community Bancshares may elect to receive either (or a combination of) 4.0926 shares of First Merchants’ common stock (valued at $83.41 based on First Merchants’ July 21, 2014 closing price of $20.38 per share), or $85.94 in cash for each Community Bancshares common share owned by such shareholder. However, no more than $15,000,000 in cash may be paid to the Community Bancshares shareholders in the Merger and there may be re-allocations of cash and stock to certain Community Bancshares shareholders if the cash threshold is exceeded. The transaction is expected to be a tax-free stock exchange for those Community Bancshares shareholders electing to receive First Merchants’ common stock pursuant to the Merger. Subject to Community Bancshares common shareholders’ approval of the Merger Agreement, regulatory approvals and other customary closing conditions, the parties anticipate completing the Merger in the first quarter of 2015. A copy of the Merger Agreement is attached hereto as Exhibit 2.1 and incorporated herein by reference.
The members of the Board of Directors of Community Bancshares and certain other significant shareholders have entered into a Voting Agreement pursuant to which they have agreed to vote their shares of Community Bancshares common stock in favor of the Merger. A copy of the Voting Agreement is filed as Exhibit 10.1 and incorporated herein by reference.
The Merger Agreement contains representations, warranties and covenants of Community Bancshares and First Merchants, including, among others, covenants (i) to, subject to certain exceptions as more fully set forth in the Merger Agreement, conduct their respective businesses in the ordinary course during the period between the execution of the Merger Agreement and consummation of the Merger and (ii) prohibiting Community Bancshares, subject to certain exceptions more fully set forth in the Merger Agreement, from engaging in certain kinds of transactions during such period. The Board of Directors of Community Bancshares has adopted a resolution recommending the approval and adoption of the Merger Agreement by its shareholders, and Community Bancshares has agreed to hold a shareholder meeting to put the Merger Agreement before its shareholders for consideration. Community Bancshares has also agreed, for a period of time and subject to certain exceptions as set forth in the Merger Agreement, not to (i) solicit proposals relating to alternative business combination transactions or (ii) enter into discussions or negotiations or provide confidential information in connection with any proposals for alternative business combination transactions.
As mentioned above, consummation of the Merger is subject to various conditions, including, among others, (i) requisite approvals of the holders of Community Bancshares common stock; (ii) effectiveness of a Form S-4 registration statement relating to the First Merchants common stock to be issued in the Merger and listing of the First Merchants common stock to be issued in the Merger on the NASDAQ Global Select Market; and (iii) receipt of regulatory approvals.
The Merger Agreement contains certain termination rights for both First Merchants and Community Bancshares. Under certain circumstances, termination of the Merger Agreement by Community Bancshares may result in the payment of a termination fee to First Merchants, all as more fully described in the Merger Agreement.
