Accordingly, they suggested that we seek a successor accounting firm. Effective November 21, 2006, our Former Accountant resigned their engagement as our Independent Accountants. (a) The Former Accountants' reports did not contain any adverse opinion or disclaimer of opinion and was not qualified or modified as to uncertainty, audit scope or accounting principles during the past two years. The decision to change accountants was recommended to and approved by the Company's independent Audit Committee. During the Company's two most recent fiscal years and subsequent interim periods preceding such resignation, there were no disagreements with the Former Accountant on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure which would have caused the Former Accountant to make reference to the subject matter of the disagreement in connection with its reports. Other than the change discussed herein, The Company has not during the most recent two fiscal years or any subsequent interim period engaged a new accountant. The Former Accountant has audited the Company's consolidated financial statements as of December 31, 2004 and 2005 and the years then ended and has reviewed the unaudited interim consolidated financial statements for the periods therein and through September 30, 2006. The Company has provided its Former Accountant with a copy of this Form 8-K/A prior to and simultaneously with the final filing of this Form 8-K/A with the Securities and Exchange Commission ("Commission"). The Company has requested the Former Accountant to furnish the Company with a letter addressed to the Commission stating whether it agrees with the statements made by the Company in response to item 304(A) and, if not, stating the respects in which it does not agree. The Former Accountant's letter is attached to this report on Form 8-K/A as Exhibit 16.1. The Company has retained the services of Berenfeld, Spritzer, Shechter & Sheer, Certified Public Accountants and Consultants ("New Accountants"), effective as of November 21, 2006. The Company did not consult with the New Accountants regarding the application of accounting principles to a specific transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company's financial statements, and no written or oral advice was provided by the New Accountants that was a factor considered by the Company in reaching a decision as to the accounting, auditing or financial reporting issues. The New Accountants have been requested to review the disclosures in this form 8 K/A and to provide the Registrant with a letter to the Commission describing any aspects with which it does not agree.
