Item 8.01    Other Events.
 
On July 13, 2017, Upland Software, Inc. (the “Company” or “Upland”) announced its acquisition of Waterfall International Inc. (“Waterfall”), a California-based cloud-based mobile messaging platform, pursuant to an Agreement and Plan of Merger dated July 12, 2017, by and among Upland, Waterfall and certain other parties thereto (the “Merger Agreement”). The purchase price consideration paid was approximately $24.4 million in cash payable at closing (net of cash acquired) and a $1.5 million cash holdback payable in 18 months (subject to indemnification claims). The foregoing excludes additional potential earnout payments tied to performance-based conditions.
