Item 5.02 — Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

(b) Departure of Directors

 

On October 20, 2017, Chase Corporation (the “Company”) was advised by George M. Hughes that he would not be standing for reelection to the Board of Directors. Mr. Hughes’ resignation from the Board will be effective February 6, 2018, the date of the Company’s annual shareholders meeting. Mr. Hughes’ resignation from the Board is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Hughes does plan to continue as the Company’s Corporate Secretary following the annual shareholders meeting.
