This Amendment No. 1 (this "Amendment ") amends and restates the Schedule 13D filed with the Securities and Exchange Commission by Martin J. Kaplitt, M.D. ("Dr. Kaplitt") on February 19, 2004.

Security and Issuer. |
The class of equity securities to which this Schedule 13D relates is the common stock, par value $0.001 (the "Common Stock"), of Neurologix, Inc., a Delaware corporation (the "Company"). The principal executive offices of the Company are located at One Bridge Plaza, Suite 605, Fort Lee, New Jersey 07024.

Identity and Background. |
The address of Dr. Kaplitt is c/o Neurologix, Inc., One Bridge Plaza, Suite 605, Fort Lee, New Jersey 07024. Dr. Kaplitt is a director and the Executive Chairman of the Company and is a United States citizen.
Dr. Kaplitt has never been convicted in any criminal proceeding, nor has he been a party to any civil proceeding commenced before a judicial or administrative body of competent jurisdiction as a result of which he was or is now subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.

No funds were used by Dr. Kaplitt to purchase his 2,413,001 shares of Common Stock. |
Item 4. |
Purpose of Transaction. |
Dr. Kaplitt acquired the 2,413,001 shares of Commons Stock pursuant to the Agreement and Plan of Merger, dated as of August 13, 2003, and amended by Amendment No. 1 to Agreement and Plan of Merger dated as of November 14, 2003 (as amended, the "Merger Agreement") by and between CTP/N Merger Corp., a Delaware corporation, and a wholly-owned subsidiary of the Company, and Neurologix Research, Inc. (formerly known as Neurologix, Inc.), a Delaware corporation, a copy of which was included as Exhibit 1 to the Schedule 13D filed by Dr. Kaplitt on February 19, 2004. Dr. Kaplitt agreed to convert his shares of Neurologix Research, Inc. into shares of the Common Stock of the Company after the closing of the merger at an exchange ratio agreed upon in the Merger Agreement.
Dr. Kaplitt has acquired such shares for the purpose of making an investment in the Company. Dr. Kaplitt will periodically review his investment and may at any time determine to increase or decrease it, depending on various factors including, but not limited to, the price of such shares, general economic and stock market conditions, the Company's business and prospects, and the amount of funds available to him.
Other than as described above, Dr. Kaplitt has no present plans which relate to or would result in (a) the acquisition by any person of additional securities of the Company; (b) an extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the Company; (c) a sale or transfer of a material amount of assets of the Company or any of its subsidiaries; (d) any change in the present board of directors or management of the Company, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board; (e) any material change in the present capitalization or dividend policy of the Company; (f) any other material change in the Company's business or corporate structure; (g) changes in the Company's charter, bylaws or instruments corresponding thereto or other actions which may impede the acquisition of control of the Company by
any person; (h) causing a class of securities of the Company to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association; (i) a class of equity securities of the Company becoming eligible for termination of registration pursuant to Section 12(g)(4) of the Act; or (j) any action similar to those enumerated above.

Interest in Securities of the Issuer. |
As of May 11, 2006, Dr. Kaplitt beneficially owned 2,413,001 shares of Common Stock, comprised of 97,391 shares held in his Keogh-Profit Sharing Plan and 2,315,610 shares held individually. Assuming conversion of the shares of preferred stock described in Item 6 below, Dr. Kaplitt beneficially owns 7.25 % of the outstanding Common Stock. Dr. Kaplitt has the sole voting and dispositive power with respect to all of such shares.
During the sixty days preceding the filing of this Amendment, Dr. Kaplitt did not engage in any transactions in the Company's securities.

On May 11, 2006, the Company issued and sold shares of its Series C Preferred Stock and Warrants to certain investors led by General Electric Pension Trust and DaimlerChrysler Corporation Master Retirement Trust (the "Investors"), pursuant to the Stock and Warrant Subscription Agreement attached hereto as Exhibit 10.1 (the "Agreement"). Dr. Kaplitt and certain other of the Company's principal stockholders (collectively, the "Holders") are a party to the Agreement for the limited purposes of Sections 3.2 and 3.3 thereof. Section 3.2 provides that no Holder may sell, assign or otherwise dispose of his or its Company shares (other than in a public offering) without first offering to sell such securities to the Investors on a pro rata basis. Section 3.3 provides that the Investors will have the right to participate on a pro rata basis, and on the same terms and conditions, in any private sale of Company securities by the Holders. These rights are transferable to any purchaser of at least 50% of the shares held by any Investor.
The foregoing summary is qualified in its entirety by reference to Sections 3.2 and 3.3 of the Agreement which are attached hereto as Exhibit 10.1 and incorporated herein by reference.
