Item 1.01 Entry into a Material Definitive Agreement.

On July 8, 2009, APAC Customer Services, Inc. (the "Company") received fully executed copies of a new three-year Master Agreement For Call Center Services (the "Agreement") with Verizon Corporate Services Group, Inc. ("Verizon"). This Agreement supersedes the prior Teleservice Master Agreement dated February 1, 2003 (as amended). A copy of the Agreement is attached hereto as Exhibit 10.1 and incorporated herein by reference in its entirety.

Pursuant to the Agreement, the Company will continue to provide in-bound customer interaction services under similar contractual terms and conditions. The Company has a six year relationship with Verizon.
