Closing of Merger
On August 14, 2009, the merger (the “Merger”) contemplated by the previously announced Agreement and Plan of Merger (the “Merger Agreement”), dated June 9, 2009, by and among the SonoSite, Inc., a Washington
corporation (“SonoSite”), CardioDynamics International Corporation, a California corporation and Canada Acquisition Corp., a California corporation and wholly owned subsidiary of SonoSite, was consummated in accordance with the Merger Agreement.
Press Release Announcing the Closing of the Merger
On August 17, 2009, SonoSite issued a press release relating to the closing of the Merger. A copy of the press release is attached hereto as Exhibit 99.1.
