Item 7.01 Regulation FD Disclosure.

On December 11, 2017, SandRidge Energy, Inc., a Delaware corporation (“SandRidge” or the “Company”), issued a press release and letter to shareholders of the Company highlighting the benefits of the acquisition of Bonanza Creek Energy, Inc. (“Bonanza Creek”). The Company also announced that it will file a registration statement on Form S-4 on the same day, which will communicate the strategic rationale behind the proposed acquisition and contain other important details and analysis regarding the transaction. The press release and the letter to shareholders are attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively.
