(the “Company”), upon the recommendation of the Nominating/Corporate Governance Committee of the Board of Directors, appointed Phil D. Wedemeyer to serve as a Class I director of the Board of Directors, to fill a vacancy in Class I, for a term commencing on April 17, 2015 and expiring at the Annual Meeting of Stockholders of the Company in 2015 and until his successor is duly elected and qualifies, unless he sooner dies, retires or resigns. In conjunction with his appointment, he automatically received an initial award of 4,050 restricted shares of common stock of the Company under the Plan.
