Item 1.01. Entry into a Material Definitive Agreement.

On February 5, 2015, Acadia Healthcare Company, Inc., a Delaware corporation (the “Company”) and its subsidiary guarantors named therein (the “Guarantors”) entered into a Purchase Agreement pursuant to which it agreed to sell $375 million in aggregate principal amount of its 5.625% senior notes due 2023 (the “Senior Notes due 2023”) to Merrill Lynch, Pierce, Fenner & Smith Incorporated, Jefferies LLC and the several other initial purchasers named in Schedule 1 to the Purchase Agreement (the “Initial Purchasers”). The offering of the Senior Notes due 2023 is being made through a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Act”) and to certain non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Act.

The Company intends to use the proceeds from the offering to fund a portion of the purchase price for the planned acquisition of CRC Health Group, Inc. and the fees and expenses related to the transaction. Consummation of the offering will occur concurrently with, and is conditioned upon, the closing of the CRC acquisition expected to occur on February 11, 2015.

On February 5, 2015, the Company issued a press release announcing the pricing and an upsizing of its offering of the Senior Notes due 2023. A copy of the press release is attached as Exhibit 99 to this Form 8-K.
