Item 8.01 Other Events.

On April 24, 2014, U.S. Bancorp issued $1,250,000,000 aggregate principal amount of its 2.20% Medium-Term Notes, Series V (Senior) due April 25, 2019 and $250,000,000 aggregate principal amount of its Floating Rate Medium-Term Notes, Series V (Senior) due April 25, 2019 (collectively, the “Notes”). The Notes were registered under the Securities Act of 1933, as amended, pursuant to a registration statement on Form S-3 (File No. 333-195373) filed by U.S. Bancorp with the Securities and Exchange Commission. In connection with these issuances, the legal opinion as to the legality of the Notes is being filed as Exhibit 5.1 to this Current Report on Form 8-K.
