Item 9. Regulation FD Disclosure.
On June 18, 2004, Blockbuster Inc. (Blockbuster) and Viacom Inc. (Viacom) jointly issued a press release announcing plans to divest Viacoms remaining approximate 81.5% interest in Blockbuster through a split-off exchange offer to Viacom stockholders. In addition, the press release announces that Blockbuster anticipates paying a special pro rata cash distribution of $5 per share, or a total of approximately $905 million, to its stockholders, including Viacom, prior to the commencement of the exchange offer. A copy of the press release is attached hereto as Exhibit 99.1.
