(b) On July 18, 2008, Thomas I. Morgan tendered his resignation from the Board of Directors of Rayonier Inc. to be effective September 30, 2008. Mr. Morgan's resignation is a result of time constraints given his return to active employment, and does not involve any disagreement on any matter relating to Rayonier's operations, policies or practices.
