The Company is unable to file its Annual Report on Form 10-K for its fiscal year ended June 30, 2008 by the prescribed date without unreasonable effort or expense because the Company was unable to compile certain information required in order to permit the Company to file a timely and accurate report on the Company’s financial condition. The Company believes that the Annual Report will be completed within the fifteen day extension period provided under Rule 12b-25 of the Securities Exchange Act of 1934.

As a result of the impairment analysis, Registrant expects to incur an impairment charge of approximately $70,000,000 and report a net loss of approximately $90,000,000 for the year ended June 30, 2008.  The results of operations of AccessMedia will be reported as discontinued operations in accordance with generally accepted accounting principles.
