In a memorandum opinion, dated February 29, 2012, the Delaware Court of Chancery denied plaintiffs’ motion for a preliminary injunction in In re El Paso Corporation Shareholder Litigation, Case No. 6949-CS. The Delaware Court of Chancery found that plaintiffs had demonstrated a probability of success on the merits and irreparable injury, but denied the injunction after balancing the hardships. A copy of the opinion is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 8.01.
