Item 1.01.                          Entry into a Material Definitive Agreement

 

On July 22, 2008, Ares Capital Corporation (“ARCC”) and Ares Capital CP Funding LLC, a wholly owned subsidiary of ARCC (“Ares Capital CP”), entered into an amendment to their financing facility (the “Amendment”) with Wachovia Capital Markets, LLC and each of the other parties thereto.  The Amendment, among other things, extended the expiration date of the financing facility from October 8, 2008 to July 21, 2009, decreased the availability and advance rates applicable to certain types of eligible loans, and made certain provisions of the financing facility more restrictive.

 

In connection with the Amendment, ARCC and Ares Capital CP also agreed to increase the commitment fee for unused portions of the facility from 0.125% to 0.50% and increase the interest rate payable on funding from the commercial paper rate plus 100 basis points to the commercial paper, eurodollar or adjusted eurodollar rate, as applicable, plus 250 basis points.   Ares Capital also paid a renewal fee of $2.75 million, or 0.786%. Borrowings under the facility are subject to the leverage restrictions contained in the Investment Company Act of 1940, as amended.
