Item 8.01 Other Events.
On June 12, 2006, Stephen S. Andersen, the Vice President, Europe of Vital Images, Inc., adopted a Rule 10b5-1 trading plan to sell a portion of his shares of Vital Images common stock. Andersen has informed Vital Images that this plan is part of his individual long-term strategy for asset diversification and tax planning. The Rule 10b5-1 plan was set up in accordance with Rule 10b5-1 under the Securities and Exchange Act of 1934 and the Companys policies regarding stock transactions.
Rule 10b5-1 permits corporate officers and directors to adopt written, pre-arranged stock trading plans when they are not in possession of material, non-public information. Using these plans, insiders can gradually diversify their investment portfolios and spread stock trades over a period of time regardless of any material, non-public information they may receive after adopting their plans. The transactions under these plans will be disclosed publicly through Form 144 and Form 4 filings with the Securities and Exchange Commission.
Andersens plan provides for the sale of up to 22,500 shares and expires on December 31, 2007. Under the terms of the 10b5-1 plan, the shares will be sold on the open market at prevailing market prices, subject to minimum price thresholds.
