Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Under the governance arrangements contained in the organizational agreements of Cleco Corporate Holdings LLC (“Cleco”), Cleco Power LLC (“Cleco Power” and together with Cleco, the “Company”), and Cleco Partners L.P., certain of the investors in the Company, including Macquarie Infrastructure Partners III, L.P. (“MIP III”), have the right to designate certain managers of the Company. On November 2, 2018, MIP III informed the Company that one of its designees, Thomas MacFadyen, will no longer serve on the Boards of Managers of the Company, effective November 2, 2018. Mr. MacFadyen served as Chair of the Asset Management Committee. There were no disagreements between the Company and Mr. MacFadyen on any matter.
