Item 8.01 Other Events.
 

On January 31, 2012, Cleco Power LLC (“Cleco Power”), a wholly owned subsidiary of Cleco Corporation (the “Company”), announced that it has entered into a long-term full requirements Power Supply and Service Agreement (“PSSA”) with Dixie Electric Membership Corporation (“DEMCO”). DEMCO serves approximately 100,000 customers in a seven-parish area and has a peak load of 578 MW. The PSSA is a 10-year agreement beginning April 1, 2014. The PSSA is contingent upon regulatory approval by the Louisiana Public Service Commission (the “LPSC”) and Rural Utilities Service. Cleco Power has notified the LPSC of its intentions to file a long-term Request for Proposals for permanent additional generating capacity and plans to incorporate the potential load from DEMCO into the resource plan for this filing. A copy of the Company's press release announcing the contract entered into with DEMCO is attached to this Current Report on Form 8-K as Exhibit 99.1.
