Item 8.01 Other Events.
On November 9, 2017, John S. Clendening, the President and Chief Executive Officer of Blucora, Inc. (the “Company”), entered into a pre-arranged stock trading plan for the sale of up to 213,100 shares of common stock of the Company in accordance with the guidelines specified under Rule 10b5-1 of the Securities Exchange Act of 1934, as amended. Sales under the trading plan may begin in mid-February 2018, and the plan will terminate on May 28, 2018. The trading plan is part of Mr. Clendening’s personal financial planning strategy for asset diversification and liquidity.

The trading plan was entered into in accordance with the Company’s Insider Trading Policy, and Mr. Clendening is expected to maintain compliance with the Company's stock ownership guidelines for its Chief Executive Officer (the "CEO") (which require the CEO to hold shares of the Company’s common stock equal in market value to at least five times the CEO’s annualized base salary calculated as of December 31 of each year). All sales of common stock under the trading plan will be disclosed publicly in accordance with applicable securities laws, rules and regulations through appropriate filings with the U.S. Securities and Exchange Commission.
