State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report portion thereof, could not be filed within the prescribed time period.

Chordiant is still in the process of completing its quarter-end financial review and therefore is unable to file its Form 10-Q for the quarter ended December 31, 2004 (the "Form 10-Q") in the prescribed time period without unreasonable effort and expense. At this time, Chordiant expects to file the Form 10-Q no later than the fifth calendar day following the prescribed due date, as permitted by Rule 12b-25.

A reasonable estimate of the results for the quarter ending December 31, 2004 cannot be made at this time. The Registrant recently changed its fiscal year-end to September 30. As a result, the Registrant requires more time to complete its audit for the fiscal year ended September 30, 2004 as well as to compete its review for the first quarter ending December 31, 2004.
