Item 1.01. Entry Into a Material Definitive Agreement.
     On September 22, 2005, ProLogis amended the Special Equity Agreements with each of K. Dane Brooksher and Irving F. Lyons III to clarify that Messrs. Brooksher and Lyons are restricted from serving on the board of directors or trustees of an industrial real estate investment trust, rather than any real estate investment trust, with a class of securities registered under Section 12(b) or 12(g) of the Securities Exchange Act of 1934, as amended. All other provisions of the Special Equity Agreements remain unchanged. A copy of the amendments to the Special Equity Agreements are attached hereto as Exhibit 10.1 and 10.2 and are incorporated herein by reference.
Item 8.01. Other Events.
     On September 22, 2005, ProLogis’ Board of Trustees appointed Christine Garvey as a member of ProLogis’ audit committee.
