Item 7.01 Regulation FD Disclosure
As previously disclosed, on March 31, 2018, FirstEnergy Solutions Corp. and all of its subsidiaries (collectively, “FES”) and FirstEnergy Nuclear Operating Company (together with FES, the “FES Debtors”) voluntarily filed petitions for relief under Chapter 11 of the U.S. Bankruptcy Code with the U.S. Bankruptcy Court for the Northern District of Ohio in Akron (the “Bankruptcy Court”). Also, as disclosed by the Company on April 23, 2018, FirstEnergy Corp. (the “Company’) reached an agreement in principle (“Agreement in Principle”) with groups of ad hoc creditors (the “FES Creditor Groups”) to resolve certain claims by the Company against the FES Debtors and all claims by the FES Debtors and their creditors against the Company.

The Company and the FES Creditor Groups are engaged in discussions with the FES Debtors and with the official committee of unsecured creditors (the “UCC”) that was appointed in connection with the FES Debtors’ Chapter 11 cases with respect to the Agreement in Principle. In furtherance of those discussions, the Company, the FES Debtors, the FES Creditor Groups and the UCC (collectively, the “Parties”) entered into a Standstill Agreement dated as of May 7, 2018, which was previously approved by the Bankruptcy Court. Under the Standstill Agreement, the Company and FES Creditor Groups agreed to keep the terms of their settlement open through August 1, 2018, and the Parties agreed to other matters to enable an efficient settlement process, including expedited discovery protocols and transfer restrictions on the FES Creditor Groups. Under the transfer restrictions, members of the FES Creditor Groups have agreed that should they seek to sell any of their FES Debtor related debt, a prospective buyer agrees to be bound by the terms of the Standstill Agreement, including support for the Agreement in Principle.

The information set forth in this Item 7.01 of this Current Report on Form 8-K is being furnished pursuant to Item 7.01 of Form 8-K and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference into any of the Company’s filings under the Securities Act of 1933 or the Securities Exchange Act of 1934, whether made before or after the date hereof and regardless of any general incorporation language in such filings, except to the extent expressly set forth by specific reference in such a filing. The furnishing of this Item 7.01 of this Current Report on Form 8-K shall not be deemed an admission as to the materiality of any information herein that is required to be disclosed solely by reason of Regulation FD.

Item 8.01 Other Events

As previously disclosed by FirstEnergy Corp. (FE), its subsidiaries, Allegheny Energy Supply Company, LLC (AE Supply), Allegheny Generating Company (AGC) and Buchanan Energy Company of Virginia, LLC (BU Energy), entered into an asset purchase agreement, as amended and restated in August 2017, with Aspen Generating, LLC (Aspen), a wholly owned subsidiary of LS Power Equity Partners III, LP, to sell four natural gas generating plants, BU Energy’s 50% interest in a joint venture that owns the Buchanan Generating Facility and approximately 59% of AGC’s interest in the Bath County hydroelectric power station (1,615 MWs of combined capacity). Previously, on December 13, 2017, AE Supply completed the sale of the natural gas generating plants with net proceeds of approximately $388 million, and on March 1, 2018, BU Energy completed the sale of its interest in the Buchanan Generating Facility with net proceeds of approximately $20 million.

On May 3, 2018, AE Supply and AGC completed the sale of approximately 59% of AGC’s interest in the Bath County hydroelectric power station. Net proceeds were approximately $355 million, which under the terms of the asset purchase agreement includes an adjustment based on the timing of the closing and is subject to customary post-closing adjustments.

In addition, in connection with its obligations under the asset purchase agreement, on May 3, 2018, AE Supply gave notice of an optional redemption of its approximately $305 million aggregate principal amount of senior notes and AGC optionally redeemed its $100 million aggregate principal amount of senior notes. As a result of these optional redemptions, "make-whole" premiums were required to be paid to the noteholders and totaled approximately $90 million.
