Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On February 21, 2006, FirstEnergy Corp. announced that Robert B. Heisler, Jr. has been elected to the company's Board of Directors. Mr. Heisler is chairman of KeyBank N.A., chief executive officer of the McDonald Financial Group (a subsidiary of KeyBank, N.A.), and executive vice president of KeyCorp. (the parent of KeyBank). Mr. Heisler previously served on the Board of Directors of FirstEnergy between 1998 and 2004.

Mr. Heisler will serve on the Board's Compensation and Finance Committees. There are no arrangements or understandings between Mr. Heisler and any other person pursuant to which Mr. Heisler was selected as a director. There are no relationships between Mr. Heisler and FirstEnergy or any of its subsidiaries that would require disclosure pursuant to Item 404(a) of Regulation S-K.
