Item 2.02 Results of Operations and Financial Condition.
 
On April 17, 2006, PacificNet Inc. (the “Company”) issued a press release and hosted a conference call during which the Company’s unaudited operating results for the fourth quarter of 2005 and the fiscal year ended December 31, 2005, and its expectation of profitability for 2006 were discussed. We subsequently issued a press release on April 18, 2006, to correct the press release issued on April 17, 2006. A copy of the press releases are attached hereto as Exhibits 99.1 and 99.2, and a transcript of the conference call is attached hereto as Exhibit 99.2.
