Item 8.01. Other Events.
Tender Offer
On June 16, 2015, Ashland Inc. (the “Company”) announced the commencement of a cash tender offer (the “Tender Offer”) for any and all of its 3.000% Senior Notes due 2016 (the “2016 Notes”) (CUSIP No. 044209 AH7; ISIN No. US044209AH73). The Company expects to finance the Tender Offer with a portion of the net proceeds of a $1.1 billion senior unsecured financing expected to close on June 23, 2015. The remainder of the net proceeds of the senior unsecured financing will be used by the Company to make contributions to its U.S. pension plans and for general corporate purposes. A copy of the news release announcing the Tender Offer is hereby incorporated by reference and attached hereto as Exhibit 99.1.
