ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
On March 2, 2009, Timothy R. Donovan, Executive Vice President, General Counsel and Corporate Secretary of Republic Services, Inc. gave notice of his termination of employment with the company. He will remain with the company for a period of time to assist with transition and his termination of employment will be effective March 27, 2009. Effective March 4, 2009, he relinquished his titles of Executive Vice President, General Counsel, and Corporate Secretary of Republic Services, Inc. The company will consider external and internal candidates to fill the General Counsel position. Michael Rissman, Vice President and Deputy General Counsel of the company, has been appointed as acting General Counsel. Mr. Rissman, who joined the company in 2007 and is a graduate of Harvard College and The University of Chicago Law School, is a leading internal candidate for the position.
