REGISTRATION OF ADDITIONAL SHARES
This Registration Statement on Form S-8 is filed to register an additional 750,000 shares of ProxyMed, Inc. (the Company) common stock issuable upon the conversion of stock options issuable pursuant to the ProxyMed, Inc. 2002 Stock Option Plan. In accordance with General Instruction E to Form S-8, the contents of the Registration Statement filed by the Company with the Securities and Exchange Commission (the Commission) (File Number 333-89764), with respect to securities offered pursuant to the Companys 2002 Stock Option Plan, are hereby incorporated by reference.
