The agreement signed by Park Meridian and unanimously approved by our directors provides for a tax-free stock-for-stock merger, with Regions exchanging 0.55 of a share of its common stock for each share of Park Meridian common stock, subject to possible adjustment if Regions' average stock price declines below $29.00 per share over a defined period. Regions is headquartered in Birmingham, Alabama, has $46.1 billion in assets and ranks among the 25 largest financial services companies in the nation.
