Item 5.02   - Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
     On January 23, 2008, director Douglas P. Ward advised that he would be retiring from the boards of directors of Intermountain Community Bancorp, Inc., and its subsidiary, Panhandle State Bank, effective at the 2008 Annual Meeting of Shareholders. Mr. Ward, whose term will expire at the2008 Annual meeting, has served on the boards since 1997 and 1980, respectively.
