On December 18, 2017, ModusLink Global Solutions, Inc. (the “Company”) issued a press release (the “Press Release”) announcing its acquisition of IWCO Direct Holdings Inc. and other transactions (the “Transactions”). A copy of the Press Release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. A reconciliation related to the non-GAAP financial measures used in the Press Release is furnished as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference.

 

The Company intends to file a Current Report on Form 8-K regarding the Transactions no later than 4 Business Days after the date the Transactions were first reportable on Form 8-K.
