ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On March 24, 2006, SL Industries, Inc., a New Jersey corporation (the
"Company") announced its financial results for the fourth quarter and fiscal
year ended December 31, 2005. A copy of the press release is furnished as
Exhibit 99.1 to this report.
