During the Company's two most recent fiscal years (2003 and 2002) through the date hereof, there were no disagreements with Shatswell on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which, if not resolved to the satisfaction of Shatswell, would have caused Shatswell to make reference to the subject matter of the disagreement in connection with its reports.
