Item 2.02. Results of Operations and Financial Condition.
On January 29, 2009, Universal Stainless and Alloy Products, Inc. (the
"Company") issued a press release regarding its earnings for the fourth quarter
and year ended December 31, 2008. A copy of the press release is attached hereto
as Exhibit 99.1.
The information in this Current Report on Form 8-K, including the attached
press release regarding the Company's earnings for the fourth quarter and year
ended December 31, 2008, shall not be deemed "filed" for the purposes of Section

On January 29, 2009, the Company issued a press release announcing that it
will invest $13 million in its Bridgeville melt shop. A copy of the press
