ITEM 2.02     RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

 

Rimage Corporation (the “Company”) hereby furnishes as Exhibit 99.1 a press release issued on February 23, 2012 disclosing material non-public information regarding its results of operations for the quarter and year ended December 31, 2011 and hereby furnishes as Exhibit 99.2 statements of Sherman L. Black, its President and Chief Executive Officer, and James R. Stewart, its Chief Financial Officer, made on February 23, 2012 at a telephone conference relating to the quarter and year ended December 31, 2011 results.

 

ITEM 8.01     OTHER EVENTS.

 

On February 21, 2012, the Company’s Board of Directors declared a dividend of $0.17 per share payable March 20, 2012 to holders of record on March 5, 2012. A copy of the Company’s press release announcing the dividend is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
