Item 8.01 Other Events.
On November 28, 2006, Maritrans Inc. (the “Company”), announced that at a special meeting of stockholders held on November 28, 2006 in Philadelphia, Pennsylvania, the Company’s stockholders approved the agreement whereby Overseas Shipholding Group, Inc. (“OSG”) will acquire the Company.
The Company and OSG also jointly announced on November 28, 2006 that OSG completed the acquisition of the Company.
A copy of the press release issued by the Company on November 28, 2006 is filed herewith as Exhibit 99.1 and is incorporated herein by reference. A copy of the press release jointly issued by the Company and OSG on November 28, 2006 is filed herewith as Exhibit 99.2 and is incorporated herein by reference.
