Item 1.01    Entry into a Material Definitive Agreement

        On December 16, 2005, Cathay General Bancorp (the "Bancorp") paid a cash bonus of $10,200 to its director, Michael M.Y. Chang, and a cash bonus of $10,000 to each of the following directors: Kelly L. Chan, Thomas C.T. Chiu, Nelson Chung, Patrick S.D. Lee, Ting Y. Liu, Joseph C.H. Poon, and Thomas G. Tartaglia.
