Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On June 3, 2016, TETRA Technologies, Inc. (the “Company”) drew down a total of $65.0 million on its revolving credit facility under the Credit Agreement dated as of June 27, 2006, as amended (the “Credit Agreement”), by and among the Company and certain of its subsidiaries, as borrowers, JPMorgan Chase Bank, N.A., as administrative agent, Bank of America, National Association, as syndication agent, Comerica Bank, as documentation agent, and the lenders party thereto. The Company intends to use these proceeds to purchase for cash the notes validly tendered (and not validly withdrawn) in its previously announced tender offer (the “2010 Notes Tender Offer”) for any and all of the Company’s outstanding 5.09% Senior Notes, Series 2010-A, due December 15, 2017 (PPN 88162F B#1) (the “2010-A Notes”) and its 5.67% Senior Notes, Series 2010-B, due December 15, 2020 (PPN 88162F C*4) (the “2010-B Notes” and collectively with the 2010-A Notes, the “2010 Notes”) in the aggregate principal amount of $65,000,000.

A more detailed description of the Credit Agreement can be found in the Company’s Annual Report on Form 10-K for the year ended December 31, 2015, filed with the Securities and Exchange Commission (the “SEC”) on March 4, 2016. The foregoing description of the Credit Agreement is qualified in its entirety by reference to the full text of (i) the original Credit Agreement, a copy of which was attached as Exhibit 10.1 to the Company’s Current Report on Form 8-K filed with the SEC on June 30, 2006, (ii) the Agreement and First Amendment to Credit Agreement dated as of December 15, 2006, a copy of which was attached as Exhibit 10.1 to the Company’s Current Report on Form 8-K filed with the SEC on January 10, 2007, (iii) the Agreement and Second Amendment to Credit Agreement dated as of October 29, 2010, a copy of which was attached as Exhibit 10.1 to the Company’s Current Report on Form 8-K filed with the SEC on November 3, 2010, and (iv) the Agreement and Third Amendment to Credit Agreement dated as of September 30, 2014, a copy of which was attached as Exhibit 10.1 to the Company’s Current Report on Form 8-K filed with the SEC on October 6, 2014.    

Item 7.01. Regulation FD Disclosure.
On June 3, 2016, the Company issued a press release announcing the completion of its previously announced 2010 Notes Tender Offer to purchase for cash any and all of the 2010 Notes. A copy of this press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.

Item 8.01. Other Events.
On June 3, 2016, the Company announced the completion of the 2010 Notes Tender Offer. The offered consideration for the 2010 Notes purchased in the 2010 Notes Tender Offer was an amount, payable in cash, equal to $100,000 per $100,000 principal amount of 2010 Notes validly tendered (and not validly withdrawn) by registered holders of the 2010 Notes prior to the expiration of the 2010 Notes Tender Offer immediately after 11:59 p.m., Eastern Time, on June 2, 2016 (the “Expiration Time”), and accepted for purchase by the Company, plus accrued and unpaid interest on such 2010 Notes from the last interest payment date to, but not including, the date of payment for such 2010 Notes. By the Expiration Time, the Company received 2010 Notes validly tendered (and not validly withdrawn) in an aggregate principal amount of $65,000,000 representing the total outstanding amount of the 2010 Notes, and as a result, the Company has purchased all of the outstanding 2010 Notes.
