Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

On February 17, 2009, the Registrant received a letter from Randy A. Nelson indicating his resignation as a Director of the Registrant. Mr. Nelson stated that since he has moved out of the service territory covered by the Registrant, he is no longer able to serve effectively as a member of the Board of Directors.

 

The resignation is effective December 31, 2008, and there are no known disagreements between Mr. Nelson and the Company.
