Item 1.01 Entry into a Material Definitive Agreement.

Randall E. Black, Chief Executive Officer and President, recently entered into an executive employment agreement between Citizens Financial Services, Inc. and First Citizens National Bank. The Executive Employment Agreement is attached hereto as Exhibit 99.1 and incorporated herein by reference.
