Submission of Matters to a Vote of Security Holders.

On May 11, 2015, Healthcare Services Group, Inc. (the “Company”) announced that the UAW Retiree Medical Benefits Trust has withdrawn its shareholder proposal from the Company’s proxy statement which was filed and mailed to shareholders on or about April 20th.
