Item 2.02 | Results of Operation and Financial Condition |
On February 28, 2014, Northwest Natural Gas Company (NW Natural) issued a press release announcing its earnings for the quarter and year ended December 31, 2013. A copy of the press release is attached as Exhibit 99.1.

Item 5.02 | Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers |
On February 27, 2014, the Board of Directors of NW Natural appointed David H. Anderson as Executive Vice President and Chief Operating Officer. Previously, Mr. Anderson, 52, served as NW Natural’s Executive Vice President of Operations and Regulation since February 28, 2013. Prior to that time, he served as the Company's Senior Vice President and Chief Financial Officer since joining the Company in 2004.
